Articles of WPA

Chapter 1   General Principles

Article 1   Name of the association:World Pet Association (hereafter referred to WPA)

Article 2   Nature of WPA:A joint organization and social group sponsored and established voluntarily by individuals and units.

Article 3   The tenets of WPA:Abiding by laws, regulations and policies of world countries, and complying with the social morality; promoting exchange and cooperation of pet industry to improve scientific technology of the industry; integrating industry resources, condensing industry strengths, regulating the industry, defending industry interests and promoting the development of the industry; Playing the role of management, service, coordination, self-discipline, supervision, rights protection, consultation and guidance to serve to build global economy and maintain social stability.

Article 4   The association shall be subject to the supervision and management of registration and management authorities and civil management bureaus of world countries, and to the professional guidance of governmental relevant functional departments. Abiding by provisions stipulated in relevant laws of world countries.

Article 5   Activity area covers the world.

 

Chapter 2  Business Scope

 

Article 6   business scope of WPA:

(1)  WPA aims at integrating industry resources, condensing industry strengths, regulating the industry, defending industry interests and promoting the development of the industry; and playing the role of management, service, coordination, self-discipline, supervision, rights protection, consultation and guidance.

(2)  To publicize pet-related laws, regulations and rules drawn up by world countries; to promote and popularize pet knowledge; to build professional web; to serve to offer consultation and information; and to push forward raising pets lawfully, politely and scientifically.

(3)  To assist relevant administration departments of national governments to register, certificate and manage pet breeding and training bases, pet hospitals, pet beauty shops, pet accommodations, pet adoptions, foster care centers and other kennel service departments.

(4)  To assist relevant administrative departments of national governments to organize pet registration, annual examination and vaccination, regulate insurance, third-party liability insurance of pets and pet owners with related departments, and safeguard people's life and property.

(5)  To create a set of standards related Purebred pets and pet industry, identify pet pedigrees, register Purebred pets, install pet electronic chips, and implement and award pet pedigree certificates.

(6)  To make the industry training plans, organize the training and authentication of pet beautician, nurses, tamers and doctors, and implement evaluation and gradation. To assist relevant departments of national governments to exam preliminarily and declare practitioners' professional titles.

(7)  To assist to establish and standardize the price system and fee scales of pet clinics and pet service industry.

(8)  To make activity plans, develop a series of activities such as exhibitions, intercommunications, seminars and BBS, and to hold pet games and appraisal activities of all types and at all levels.

(9)  To recommend excellent purebred pets, heavy feeders, medicine, vaccine and other suitable supplies, appliance information and sincere pet clinics, beauty shops, pet houses, clubs, websites, etc.

(10)To organize international and domestic exchanges, establish mutual visits mechanism, improve world technical and industry standards to ensure the industry level of each country and make it to reach the international level.

(11)To reflect requests, views, suggestions of members to relevant departments, and safeguard legitimate rights and interests of members.

(12)To actively develop industry public welfare undertakings and other activities beneficial to society.

 

Chapter 3   Members

 

Article 7   Members of the association is the economic organization of pet industry.

Article 8   The following conditions shall be fulfilled by members applying for membership:

(1)Shall uphold the Articles of WPA;

(2)Shall have the will of joining WPA;

(3)Shall have some impacts in the field of pet industry;

(4)Shall hold business licenses and other relevant certificates stipulated by world countries.

 

Article 9   Membership Process:

 

(1)Shall submit application for membership;

(2)Shall be discussed and passed by council and the standing council;

(3)Membership card will be issued by the authorized organ of council and the standing council;

(4)Relevant units of world countries can only be members by complying with the same process and relevant laws of world countries.

 

Article 10   Members enjoy the following rights:

(1)Have the right to vote, to be elected and to take a vote in WPA;

(2)Take part in the activities as arranged;

(3)Enjoy priority and preferential rights of service provided by WPA;

(4)Right to voice their comments, suggestions and supervisions;

(5)Admission into and withdrawal from WPA are on free will.

 

Article 11   Members are required to fulfill the following obligations:

(1)Observe the articles of WPA, and implement the decisions of WPA;

(2)afeguard the legal rights and interests of the industry;

(3)Fulfill the mission as trusted by WPA;

(4)Pay membership dues as required;

(5)Response and provide WPA with relevant information;

 

Article 12   Grade of Membership:

 

(1)President Unit;

(2)Vice president Unit;

(3)Standing council Unit;

(4)Board of directors ;

(5)General members;

 

Article 13   Members shall deliver a written notice to WPA, and return their membership cards.It is regarded as automatic withdrawal from WPA if a member neither pays the membership dues nor takes part in the required activities within one year period.

 

Article 14  The membership will be turned down with the resolution passed by the board of directors and its standing council if a member seriously violates the Articles of WPA.

 

Chapter 4   Election and Recall of Organizations and Persons in Charge;

 

Article 15  The highest authority of WPA is the Representative Assembly, and shall be subject to the relevant laws, regulations and this Articles for its scope of power.

 

Article 16   Powers of Representative Assembly:

(1)Decide the business scope and duties of WPA within the laws, regulations stipulated by world countries;

(2)Formulate and revise this Articles;

(3)Perform election and recall of the directors;

(4)Examine work & financial report of Board of Directors;

(5) Make resolutions of alternation, dissolution, audit and other matters;

(6)Consider the expelling of a member proposed by Board of Directors;

(7)Make decisions of any termination issue;

(8)Make decisions of other important issues.

Article 17   The Representative Assembly meeting shall be held with attendance of 2/3 of the delegates, and the resolution shall be made and come into force with the vote by half the delegates attended.

Article 18   4-year term is adopted for each session of the. Representative Assembly. In case that a conference should be held ahead of scheduled time or to be delayed due to special reasons, it should be voted and passed by the board of directors and submit for approval by the registration and management authorities The delay of leadership transition shall not be beyond one year.

Article 19   The Board of Directors shall be established by WPA. The Board shall be the executing organ of the Representative Assembly. It shall lead this Association in day-to-day business between sessions of the Assembly and shall answer for the Assembly.

Article 20  Powers of the Board of Directors:

(1)Prepare and convene the meeting of Representative Assembly;

(2)Implement the decisions made by the Assembly and report their work to the Assembly;

(3)Decide specific work of WPA;

(4)Make plans for the annual financial budgets, settlement, alternation, dismiss and liquidation, etc.;

(5)Set out programs for developing branches of WPA all over the world;

(6)Determine the setup of WPA's internal organizations and lead them to carry out the work;

(7)Determine the initiation of new applicants and the punishment of members, and propose to expel a member;

(8)Appoint or remove the appointive Secretary-General, and decide the major persons-in-charges of each branch; Appoint or remove the vice Secretary-General, administrative organs and the principal responsible persons of representative office, and decide their remuneration;

(9)Formulate internal management system of WPA;

(10)Other matters stipulated in this Articles.

Article 21 Meeting of the Board of Directors shall be held at least once semi-annually (it can be held with communication mediums in a particular case). Meeting of the Board of Directors shall be held with attendance of 1/2 of the directors, and any resolution shall be passed and come into force only with the vote of 1/2 of directors. The Board of Directors shall take the meeting minutes of resolution and announce it to all directors.

The board meeting shall be convened and presided over by the President. In case the President is unable to perform his duties due to any special reason, the meeting shall be convened and presided over by the vice president or Secretary-General. The board meeting may be convened upon proposal made by at least 1/3 of directors.

Article 22  A standing council of Board may be set up for WPA as requested when there are over 50 directors. Standing directors shall be elected by and from the board of directors. The standing council bears responsibility to the board of directors, and is composed of president, vice president and standing directors. During the session of board meeting, the standing council may perform the powers as stipulated in 1, 2, 4, 5, 6, 7, 8 and 9 in Article 21 after the authorization of board of directors. The meeting of standing council shall be held at least once within 3 months (it can be held with communication mediums in a particular case), and its resolution shall be passed and come into force with the vote of 1/2 of standing directors.

The standing council shall keep minutes of the resolutions made on the matters discussed:

Article 23  The rules and processes of branches and representative agencies shall be set up by WPA.:

(1)The specific plan to set up branches shall be made by the Secretariat of WPA;

(2)The specific plan shall be submitted to the president meeting for discussion and pass;

(3)The specific plan passed shall be submitted to the Board of Directors for approval;

(4)and shall report to the social group registration and management authority for approval.

Article 24  Supervisory committee (or one supervisor) shall be set up by WPA, and be selected by the Representative Assembly. The term of supervisory committee (or supervisor) is the same as that of board of directors, and may be extended to next election after expiry.

President, vice President, directors and Secretary- General may not serve concurrently as a supervisor.

Article 25  President, vice President, Secretary- General and supervisor shall meet the following requirements:

(1)shall abide by laws and regulations of world countries;

(2)Have a great influence on pet industry;

(3)The age of the president, vice-president and secretary-general shall not be over 70 in maximum while assuming duties in the office; The Secretary-General shall take office in full time.

(4)Shall be in good health and capable of normal duties;

(5)Shall be free from any criminal cases and punishment;

(6)Shall possess full capacity of civil behavior;

 

Article 26  The employment of Secretary-General adopts appointment system, and president shall not concurrently serve as Secretary-General.  

 

Article 27  WPA has one president and several vice presidents. President is the legal representative of WPA and shall not concurrently serve as the legal representative of other social group.

 

Article 28  A 4-year-term is adopted for the duties of the president, vice-president and secretary-general of WPA, there shall be no more than 2 terms in maximum.

 

Article 29  Powers of President of WPA:

 

(1)Convene and preside over the board meeting (or the standing meeting);

(2)Inspect implementation of the resolutions made by the Representative Assembly Board of Directors (or the standing council).

(3)Sign relevant important documents on behalf of WPA.

 

Article 30  Vice president and secretary-general carry out work under the leadership of president, and secretary-general shall bear the responsibility to the board of directors. Secretary-general shall be in full time and exercise powers as follows:

 

(1)Take charge of day-to-day duties of the administration organs and organize in performing the annual work program.

(2)Formulate and carry out annual work plans, budgets and decisions;

(3)Coordinate duties among various branches, representative and entity organs,

(4)Nominate the main persons in charge of various administration, branches and entities organs and then submit to the board of directors and the standing council for approval.

(5)Nominate the appointment of full-time staff for the afore-mentioned departments and offices, and then submit to president for approval;

(6)Deal with other daily affairs: Secretary-general attends the board meeting and the standing meeting.

 

Article 31  Powers of the supervisory committee (or supervisors):

 

(1)Report annual work to the Representative Assembly.

(2)Supervise the selection and dismissal of Representative Assembly and the board of directors; supervise the board of directors to perform its resolution.

(3)Check financial and accounting documents, and feed back to registration and management authority and tax and accounting authorities;

(4)The supervisor attends the board meeting, and has the right to question and suggest to the board of directors;

(5)Supervise the board to abide by laws and this Articles. Demand president, vice president, directors, secretary-general and other managers to rectify any action that harms WPA's interests, and report to the Representative Assembly or relevant governmental departments if necessary. The supervisor shall abide by relevant laws, regulations and articles of world countries. He shall be under the leadership of Representative Assembly and earnestly fulfill the responsibilities.

Chapter 5  Rules of Assets Management and Application

 

Article 32  Sources of Fund of WPA:

(1) Membership dues;

(2) Donation;

(3) Financial aid from government;

(4) Income of authorized business activities and services:

(5) Interest;

(6) Legal income from other sources.

 

Article 33  Upon receiving donations, WPA shall abide by laws and regulations of world countries and shall not apportion or covertly apportion in any form. Donors, sponsors or units, members and supervisors have the right to inquire WPA about the use and management of donations, and to put forward their opinions and suggestions. WPA shall reply in time for the inquiry of the above-mentioned persons.

 

Article 34  The membership dues of WPA shall be used for the business scope and business development stipulated in this Article. The property and other income of WPA shall be protected by laws of world countries, and shall not be seized, privately divided and appropriated by any unit and individual.

 

Article 35  In case the president, vice president, directors, supervisors, secretary-general and other staffs privately divide, seize and appropriate of WPA's property ,they shall return those property and conduct a review on the meeting of Representative Assembly. Whereas the case constitutes a crime, criminal responsibilities shall be affixed.  

 

Article 36  WPA performs the international uniform accounting system, conducts accounting in accordance with the law and establishes a sound internal accounting supervision system to ensure the legality, trueness, accuracy and completeness of its accounting documents.

WPA shall be subject to the tax and accounting supervision carried out by tax and accounting authorities of world countries in accordance with laws.

 

Article 37  Accounting personnel with professional qualification are employed for WPA. The accountant shall conduct accounting and observe supervision rules. When anyone is transferred to other duties or left office, hand-over formalities shall be done and clarified with the take-over personnel.

 

Article 38  The assets-management of WPA shall strictly observe the financial administration regulations set forth by the law, and accept supervision from the Representative Assembly and relevant international financial departments. The assets that allocated from state authorities or donated from social communities shall be subjected to supervision by the auditing department, and make it public in proper form for certain information.

 

Article 39 The annual work reports, elections, alternations of legal representative and liquidations of WPA shall be financially audited by registration and management authorities.

 

Article 40 WPA shall submit relevant activity report, financial report and activity arrangements to registration and management authorities.in accordance with the provisions of industry.

WPA establishes the system of reporting important matters: WPA holds large symposiums, seminars, and exhibitions, conducts external exchanges, associates with civil organizations of world countries, develops activities of insider comparisons, up-to-standards and honors, accepts donations from all over the world, and reports to relevant functional governmental departments and registration and management authorities to conduct related formalities before the activity.

 

Article 41  The employment of staffs of WPA adopts the overall engagement system, and open for the public. WPA shall conclude the labor contracts with employees. The wages, insurance and welfare treatment for the full time staff of WPA shall be determined by consulting the relevant regulations of world countries.

 

Chapter 6  Procedures of Articles Revision

 

Article 42  Revision of this Articles shall be subject to the vote by the board of directors and submitted to the Representative Assembly for audition.

 

Article 43  The revised articles of WPA shall be approved by the Representative Assembly and may come into force after approval of international registration and management authorities within 30 days.

 

Chapter 7  Termination Procedures and Disposal of Properties After Termination

 

Article 44  In case of any situation as follows, WPA shall be terminated and the motion of cancellation shall be proposed by the board of directors or the standing council:

 

(1)Finish the tenets of WPA;

 

(2)Dismissal made by the resolution of the Representative Assembly;

 

(3)Separation or merger of WPA occurs;

 

(4)Unable to develop work in accordance with the tenets of WPA.

 

Article 45  The motion of termination for WPA shall be subject to vote and passed by the Representative Assembly, and submitted for approval by international registration and management authorities.

 

Article 46  Before the termination of the association, a liquidation team shall be established under the guidance of the international registration and management authorities and relating institutions to clear credits and debts, and handle other rehabilitation matters. Issues other than liquidation shall not be handled during liquidation period. WPA shall cancel its registration with international registration and management authorities within 15 days from the date of liquidation.

 

Article 47  Upon accomplishment of nullification formalities by the international registration and management authorities, termination of WPA goes into effect.

 

Article 48  Remaining properties after termination of WPA shall be used for development of the cause relating to the principles of WPA under the supervision of the international registration and management authorities in accordance with related provisions.

 

Chapter 8  Supplementary Terms

 

Article 49  This Articles is approved by voting made by the Representative Assembly. 

 

Article 50  Right of interpretation to this Articles belongs to the board of directors of WPA.

 

Article 51  This Articles comes into force from the date of approval made by the international registration and management authorities.
